2. Regulatory Status

AlterLegacy Sàrl is a technology platformoperator providing digital infrastructure for the distribution of and access toalternative investment fund vehicles structured under Luxembourg law.

AlterLegacy Sàrl is not itself anauthorised alternative investment fund manager (AIFM) within the meaning of theLuxembourg Law of 12 July 2013 on alternative investment fund managers (the"AIFM Law"), implementing Directive 2011/61/EU (AIFMD), as amended byDirective (EU) 2024/927 (AIFMD II). Fund management services in respect of fundvehicles accessible through the Platform are provided by Fundequate ManagementS.à r.l., acting as external registered AIFM in accordance with Article 3(2) ofthe AIFM Law.

AlterLegacy Sàrl does not hold a licence asa Payment Institution, Credit Institution, or Investment Firm under Luxembourglaw, and does not provide investment advice, portfolio management, or thereception and transmission of orders within the meaning of Directive 2014/65/EU(MiFID II) as transposed by the Luxembourg Law of 30 May 2018 on markets infinancial instruments.

Access to fund vehicles through thePlatform is restricted to qualified investors within the meaning of applicableLuxembourg and EU law. AlterLegacy Sàrl reserves the right to verify investoreligibility prior to granting access to any investment opportunity.

Investments in fund vehicles accessiblethrough the Platform are suitable only for investors who: (i) are qualifiedinvestors within the meaning of applicable Luxembourg and EU law; (ii)understand and can bear the risks associated with illiquid, long-termalternative investments; and (iii) do not require immediate liquidity fromtheir investment.

AlterLegacy Sàrl draws your attention tothe fact that Luxembourg law imposes minimum investment thresholds andeligibility criteria for certain fund structures. In particular, investments inReserved Alternative Investment Funds (RAIFs) governed by the Luxembourg Law of23 July 2016 and Specialised Investment Funds (SIFs) governed by the LuxembourgLaw of 13 February 2007 are restricted to Well-Informed Investors, as definedin the respective laws, and require a minimum commitment of EUR 125,000 or an assessmentof expertise and knowledge by a credit institution, investment firm, ormanagement company.

4.4 SFDR Classification

Each fund vehicle accessible through thePlatform will disclose its classification under Regulation (EU) 2019/2088 onsustainability-related disclosures in the financial services sector (SFDR) inits pre-contractual documentation. AlterLegacy Sàrl does not make anyrepresentation as to the sustainability characteristics of any fund vehiclebeyond those disclosed in the relevant offering documents. Classification underArticle 6, 8, or 9 SFDR does not constitute a guarantee of environmental orsocial outcomes.

4.5 Restricted Jurisdictions

The information and materials on thePlatform are not directed at, and may not be distributed to or relied upon by,any person in any jurisdiction where such distribution or use would be contraryto local law or regulation. In particular, the Platform is not directed atpersons located in the United States of America, Canada, Japan, Australia, orany other jurisdiction in which the offer or sale of fund interests is notpermitted without prior registration or qualification under applicablesecurities laws.

It is the responsibility of any personaccessing the Platform to satisfy themselves that they are permitted to do sounder the laws of their jurisdiction of residence.

5. Intellectual Property

All content on the Platform — including butnot limited to text, graphics, logos, images, software, data compilations, andthe overall design and layout of the Platform — is the property of AlterLegacySàrl or its licensors and is protected by Luxembourg and internationalintellectual property law, including the Luxembourg Law of 18 April 2004 oncopyright and related rights (as amended).

No content may be reproduced, distributed,transmitted, modified, displayed, published, sold, licensed, or used to createderivative works without the prior written consent of AlterLegacy Sàrl, exceptas permitted by applicable law. The AlterLegacy name, logo, and all relatedmarks and trade names are trademarks or registered trademarks of AlterLegacySàrl. Unauthorised use of any trademark is strictly prohibited.
